About These Terms
These terms govern the relationship between Dan Raileanu, trading as Navflow (“Navflow”, “I”, “me”), and any client or prospective client (“you”, “the client”) who engages Navflow for website design, development, or related services.
By signing a proposal or written agreement with Navflow, you agree to these terms.
Services
The specific scope of work, deliverables, and pricing for your project are set out in a written proposal or contract provided before work begins. These terms apply alongside that document.
Navflow offers:
- Managed website plans (monthly subscription)
- Full ownership website builds (one-off purchase)
- Bespoke and custom projects (quoted individually)
- Optional add-on modules (one-time or monthly)
Payments
Managed Monthly Plan
Monthly payments are collected via Direct Debit (GoCardless), bank transfer, or debit/credit card on the agreed billing date. A 12-month minimum contract applies.
Full Ownership Builds
Payment terms are agreed in the written proposal. Work begins only once the agreed deposit has been received.
Add-ons
One-time add-ons are invoiced prior to or upon completion. Monthly add-ons are billed alongside the managed plan or on a separate recurring basis as agreed.
Late Payment
If a payment is missed, I will contact you to resolve it. If invoices remain unpaid with no communication, managed services including hosting, maintenance, edits, and support may be paused until the account is brought up to date. Persistent non-payment may result in suspension or termination of the service.
Intellectual Property and Ownership
Managed Plan
The website built under the managed plan remains the property of Navflow until a buyout is completed. You have a licence to use the website for the duration of the active subscription. If you cancel, the website is not automatically transferred.
Full Ownership Builds
On full payment, ownership of the core website files and content is transferred to you. Third-party plugins, licences, hosting, and integrations are handled separately and remain subject to their respective providers’ terms.
Client-Supplied Content
You confirm that any content you provide (text, images, logos) is owned by you or that you have the rights to use it. Navflow accepts no liability for intellectual property disputes arising from client-supplied content.
Your Responsibilities
To deliver your project on time and to brief, you agree to:
- Provide content, feedback, and approvals within the timeframes agreed
- Ensure all content provided is accurate, lawful, and owned by you
- Nominate a single point of contact for the project
- Make payments on time as agreed
Delays caused by late content or feedback may affect the agreed delivery timeline.
Liability
Navflow will carry out all work with reasonable care and skill. However:
- Navflow is not liable for loss of revenue, profit, or business arising from website downtime, delays, or errors
- Navflow is not liable for third-party service failures (hosting providers, payment processors, plugins, or other tools)
- Total liability in any circumstances is limited to the total fees paid in the 12 months preceding the claim
Nothing in these terms limits liability for death, personal injury, or fraud caused by negligence.
Insurance
Navflow holds Professional Indemnity Insurance up to £50,000 per claim, underwritten by Markel International Insurance Company Limited (Policy No. CE56594). A confirmation of cover is available on request.
Confidentiality
Both parties agree to keep confidential any sensitive business information shared during the project. This does not apply to information that is publicly available or required to be disclosed by law.
Termination
Either party may terminate the agreement in writing. Termination is subject to the cancellation terms below.
Navflow reserves the right to terminate immediately if a client acts in a way that is abusive, unlawful, or in breach of the Acceptable Use Policy.
Governing Law
These terms are governed by the laws of England and Wales. Any disputes will be subject to the exclusive jurisdiction of the courts of England and Wales.
Changes to These Terms
These terms may be updated from time to time. Continued use of Navflow services after an update constitutes acceptance of the revised terms. Significant changes will be communicated directly to active clients.
